Uzwiler Factory Roundabout Friends Switzerland based in Uzwil (SG)
1. Name and registered office
Under the name “Uzwiler Factory Roundabout Friends Switzerland” there is an association within the meaning of Art. 60 ff. ZGB with HQ in Uzwil.
2. Purpose
The association aims at protection and the permanent inclusion of the Factory Roundabout in the annual calendar of Uzwil. Furthermore, we strive to make the roundabout as famous as possible, so that other calendars can also enjoy such a truly beautiful roundabout.
3. Medium
To pursue the purpose of the association, the association has the contributions of the members, which are determined annually by the general meeting.
4. Membership
Any natural or legal person who is interested in the Uzwil Factory Roundabout (SG) can become an active member with voting rights. Any natural or legal person can become a passive member without voting rights. Applications for admission are to be directed to the upper roundabout; Acceptance is decided upon by the board.
5. Membership expires
Membership expires - for natural persons through resignation, exclusion, roundabout hatred or death - for legal persons through resignation, exclusion, rouandabout hatred or dissolution.
6. Withdrawal and exclusion
A club exit is possible on the first full moon of the month. The registered letter of resignation must be sent to the upper roundabout at least four weeks before the Annual General Meeting. It should also be written and signed in chalk on the street around the factory roundabout in Uzwil. A member can be expelled from the association at any time without stating a reason. The board makes the decision to disqualify; the member can refer the decision to expel to the General Assembly.
7. Organs of the association
The organs of the association are:
a) the General Assembly
b) the board
c) the auditors
8. The General Assembly
The highest organ of the association is the general assembly. An ordinary general assembly takes place annually in the first half of the year. The members will be invited to the General Assembly in writing one month in advance, with an attachment to the agenda. The General Assembly has the following inalienable tasks:
a) Election or deselection of the board and the auditors
b) Setting and amending the statutes
c) Acceptance of the annual accounts and the auditor's report
d) Decision on the annual budget
e) Determining the membership fee
f) Treatment of exclusionary recourse
Each member has one vote at the General Assembly; the decision is made with a simple majority. Passive members are invited to the General Assembly, but have no voting rights.
9. The board
The board consists of at least two people, namely the upper roundabout and the secondary roundabout. Other board members are:
Bookkeeping, record keeping, press spokesman / press spokeswoman, IT manager, club VIP, club VIW, design-Nadesh, schnapps (ideas) responsible, advising adviser, roundabout social media manager. The board represents the association externally and conducts the day-to-day business.
10. The auditors
The General Assembly elects two auditors each year who control the bookkeeping and carry out a spot check at least once a year.
11. Signature
The association is bound by the collective signature of the president together with another member of the board.
12. Liability
No club member is liable for the debts of the club. Personal liability of the members is excluded.
13. Change of statutes
The present statutes can be changed if the upper roundabout and two club members agree to the proposed change.
14. Dissolution of the association
The dissolution of the association can only be decided together with all members present at the assembly if 50% of all members attend the assembly. If less than 50% of members attend the meeting, a second meeting must be held within one month. At this meeting the association can be dissolved with a simple majority even if less than 50% of the members are present. If the association is dissolved, the assets must be invested in a Alc-shooting party on the factory circuit in Uzwil.
15. Entry into force
These statutes were adopted at the founding assembly on March 6th, 2020 and came into force on this date.
16. Social media
The people responsible for social media are PCW and DJ
17th association celebrations
We strive for an annual homage to the roundabout on site in Uzwil.
